Qualified, or "accredited" investors, include a natural person whose net worth, or joint net worth with spouse, exceeds $1,000,000; or, a natural person who had an annual income in excess of $200,000 in each of the two most recent years or joint income with spouse in excess of $300,000 in each of those years and has a reasonable expectation of reaching the same income level in the current year; a trust, with total assets in excess of $5,000,000, not formed for the specific purpose of acquiring exempt securities offered, whose purchase is directed by a sophisticated person as described in Rule 506(b)(2)(ii) of Regulation D under the Securities Act of 1933; a corporation or partnership not formed for the specific purpose of acquiring exempt securities offered and has total assets in excess of $5,000,000; or a corporation or partnership in which all of the equity holders are natural persons who all meet one of the criteria for natural persons described above. "Qualified Purchaser" includes a natural person who beneficially owns not less than $5,000,000 in investments either separately or jointly or as community property with her or her spouse. This also includes an entity which in aggregate owns not less than $25,000,000 in investments, any family company that owns $5,000,000 or more in investments or a trust that is directed by a qualified purchaser that was not formed for the specific purpose of investing and with respect to which each settlor or other person contributed assets is a qualified purchaser.
